Terms of service
These terms apply to the Vidkiwi website and to every quote, order and project with Zynova Technologies OÜ. A signed agreement or order with different terms takes priority over these.
1. Who we are
Vidkiwi is a brand of Zynova Technologies OÜ, Sepapaja tn 6, Lasnamäe linnaosa, Tallinn, Harju maakond, Estonia. "You" means the business that requests a quote or places an order, and its users. Our service is for businesses, not consumers.
2. The service
We turn your procedures, SOPs and training material into training videos and related materials — translations, subtitles, quizzes, QR posters, printable training sheets, training packs and SCORM packages for your learning system — and deliver them through download links, video links and the client portal. Each order or quote states what is included: number and length of videos, languages, rounds of changes and delivery dates. Delivery dates are good-faith estimates and depend on you sending material and feedback on time.
3. Safety content: your responsibility
Our videos explain the procedures and information you give us. They support training; they do not replace your risk assessments, written procedures, supervision, hands-on instruction or your legal duties as an employer. You are responsible for the accuracy and completeness of the content you provide and for approving each script and video before use, including checking that it matches your site, equipment, laws and standards. We do not give safety, legal or engineering advice. Our free toolbox talks on this website are general summaries, not site-specific instructions.
Training records are yours to keep. We do not record who watched a video, who completed training or their quiz results. Keeping training records — in your learning system (using our SCORM package), on our printable training sheets or otherwise — is your responsibility.
4. What you provide
You confirm that you have the right to give us your documents, logos, brand assets, recordings and any photos or footage, and to have them used to make your videos, and that they don't infringe anyone's rights or break any law. If a third party claims that material you supplied infringes their rights, you will cover our reasonable costs of that claim.
5. People and AI
Our videos are made by our team working with AI tools: people plan, write, check and correct; AI helps with drafting, translation, narration, pictures and animation. AI output can contain mistakes or images that are not exactly right, so a person reviews every step and you approve every script and video before it is final. AI narration and characters are synthetic: they are not real people, and we do not imitate real people's voices or likeness without their written permission. 6. Review, approval and revisions
We share scripts and videos for review in the client portal or by link. Your order says how many rounds of changes are included; extra rounds or new content are quoted separately. A video is accepted when you approve it, or if you don't send changes within 10 working days of delivery. Mistakes we made in following your approved content are fixed free of charge at any time.
7. Ownership and licences
- Your material stays yours. You give us a licence to use it only to provide the service.
- Finished videos: once paid in full, you own the finished videos and materials made for you and may use, copy, translate and share them within your organisation and with your contractors, without time limit.
- What stays ours: our software, templates, layouts, graphics library, music licences, the Vidkiwi brand and mascot, and characters we designed that are not specific to you. You get a permanent licence to use them as part of your videos, but not separately.
- Showcasing: we may name you as a client or show short extracts only with your written permission.
8. Prices and payment
Prices are fixed per order and quoted before work starts, excluding VAT and similar taxes, which are added where they apply. Unless the order says otherwise, we invoice 50% when you place the order and 50% on delivery, payable within 14 days. If an invoice is overdue we may pause work and delivery links until it is paid, and charge statutory late-payment interest.
9. Free sample
One free sample video per company, made from one procedure you send us. You may use it internally. There is no obligation to buy. We may decline sample requests at our discretion.
10. Confidentiality and data
We keep your documents and unpublished videos confidential and use them only for your project. We sign your non-disclosure agreement on request. Where we process personal data for you — for example names that appear in your documents or recordings — our data processing terms apply and form part of these terms.
11. Liability
We provide the service with reasonable skill and care. Except as stated in these terms, we give no other warranties. Our total liability for each order is limited to the amount you paid for that order, and we are not liable for indirect or consequential loss, lost profits or data loss you could have avoided by keeping backups. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, for intent or gross negligence, or any other liability that cannot be limited by law. Neither party is liable for delays caused by events outside its reasonable control.
12. Ending a project
You may cancel an order at any time by email; you pay for work done up to that point, and for any third-party costs already incurred. Either party may end an order if the other seriously breaches these terms and doesn't fix it within 14 days of written notice. After the end we delete project files as set out in the privacy notice; ask us before then for any exports you need.
13. Using this website
You may read, share and link to our toolbox talks and free resources for your own training, with credit to Vidkiwi. You may not copy the site in bulk, resell our content, try to break or overload the site or the portal, or use it unlawfully. Website content is provided as general information, without warranty.
14. Law and disputes
These terms are governed by the laws of the Republic of Estonia, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. We will first try to settle any dispute by talking. If that fails, the Harju County Court (Harju Maakohus) in Tallinn has jurisdiction, unless mandatory law gives you another court.
15. Other terms
We may update these terms; the version in force when you place an order applies to that order. If one part is found invalid, the rest stays in force. Notices may be given by email: to us at [email protected], to you at the address on your order.
